Joel Ruffini works with clients through the entire lifecycle of their business starting at the entity formation stage helping with entity selection and operating documents. He also acts as outside general counsel to emerging growth companies and helps with day-to-day contracts, corporate governance, and counsels clients on the legal issues they face in their business operations.
Joel represents clients in a variety of capital raising transactions involving: angel investors, seed investors, venture capital fund investments, common and preferred stock investments, and convertible debt and other convertible financing instruments. He also advises clients on the securities laws involved in raising capital including compliance with federal and state securities laws in private placements, and has also advised crowdfunding platforms on JOBS Act compliance. Joel also counsels clients in the variety of issues faced by clients who are buying or selling a business.
Prior to joining Baer Crossey McDemus, Joel did corporate and technology work for startups and entrepreneurs while running his own firm, Ruffini Law LLC. He also previously worked for a group of angel investors helping them with investments, the Drexel Entrepreneurial Law Clinic helping student entrepreneurs, and the law firm of Dilworth Paxson LLP.
Joel earned his law degree from the Drexel University Thomas R. Kline School of Law with a Concentration in Business and Entrepreneurship Law, where he was President of the Drexel Business Law Organization, a board member of the Drexel Entrepreneurship Association for Graduate Students and Alumni, and a competitor on the Transactional Lawyering Team. He currently serves on the Drexel Law Alumni Council.
