Baer Crossey McDemus Welcomes Eliana Alcivar as a Partner, Enhances the Firm’s Technology Group and EdTech Capabilities

PHILADELPHIA, PA – August 30, 2018) Baer Crossey McDemus LLC, a Philadelphia- and Pittsburgh-based law firm, is excited to welcome Eliana Alcivar as its newest Partner in its Technology and Data Privacy practice group.  A longtime friend of the firm, Eliana previously served Baer Crossey McDemus for several years as an Associate in the firm’s technology practice group as well as its corporate practice group, before leaving in 2014 to serve as in-house counsel for a prominent edtech company delivering an integrated software and hardware system (including IPTV and educational media-streaming capabilities) to K-12 public and private schools across the United States.

Eliana earned her law degree from the University of Pennsylvania Law School and began her legal career in the litigation department of the Philadelphia office of Ballard Spahr, where she served as a General Litigation associate as well as a member of the White Collar Defense practice group and represented clients in a variety of litigation and regulatory investigative matters, participating in all stages of federal civil litigation. Later, she spent several years leading teams of designers, programmers, writers, multimedia professionals, and faculty members in the design and development of award-winning online college courses and speaking at educational technology conferences about her work.

At Baer Crossey McDemus and then subsequently as in-house counsel, Eliana developed special interest and significant experience in connection with drafting, reviewing and negotiating technology vendor agreements, SaaS agreements, hardware and software purchase and licensing agreements, reseller and authorized dealer agreements, online advertising/affiliate marketing agreements, software and hardware warranty and support agreements, white label/OEM supply agreements, technology services consulting and employment agreements, and privacy policies and terms of use.  She has also provided extensive counsel in open source software licensing and compliance matters, state sales tax matters related to online retailers/interstate commerce and sales tax exemption compliance, state government procurement matters, student data privacy law compliance, and drafting and negotiating media/content license agreements.

Eliana has returned to Baer Crossey McDemus to apply the full breadth of her extensive and varied legal and business experience and her deep enthusiasm for technology and education to counseling companies of all sizes and in all stages of their life cycles in technology, commercial contracting, privacy and data security, and intellectual property law matters.  “Eliana was one of the first members of what would become our Technology and Data Privacy practice group, and she distinguished herself immediately by her understanding of software and Internet technology, her intellectual virtuosity in balancing the many complex technical, legal and business concerns in this area to provide excellent counsel, and her enthusiastic advocacy for technology buyers and sellers,” recalled Andrew Baer, a Managing Partner and Co-Founder of the firm and Chair of its Technology and Data Privacy practice group.  “I am absolutely thrilled to have Eliana back as a partner.  Her talents and expertise have only grown more impressive due to her years in-house in the edtech space.  Eliana’s return broadens and bolsters our firm’s well known and rapidly growing technology and privacy practice.”

In her free time, Eliana engages in a variety of creative endeavors, including a longtime interest in singing and writing music. She also enjoys designing and sewing garments and dreams of opening a clothing boutique one day.

Eliana is admitted to practice law in Pennsylvania. She is a native Spanish speaker and belongs to the Hispanic Bar Association of Pennsylvania.
